Please read these Terms of Use (“Terms”) carefully before using the uConnect platform (the “Service”) operated by uConnect Inc. (“us,” “we,” or “our”). We operate this Service in conjunction with our Partners (universities and other organizations) who manage the day-to-day operation of their respective sites (our “Partners”).
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.
1. The Service and Our Role
The uConnect platform is provided as a technology service to your university or organization (our “Partner”). When you use the Service, you are using your Partner’s career services system. Your Partner has access to the data you enter into the platform, and your use of the Service is subject to both these Terms and your Partner’s applicable policies.
uConnect acts as a service provider to your Partner and processes your data in accordance with our Privacy Policy and the data processing agreement between uConnect and your Partner. Please review our Privacy Policy for full details on how your information is collected, used, and protected.
2. Accounts
When you create an account with us, you represent and warrant that:
- You are above the age of 18, or above the age of 13 with your parent or guardian’s consent (or such higher age as required by applicable law in your jurisdiction);
- The information you provide is accurate, complete, and current at all times; and
- Your use of the Service complies with all applicable laws and regulations.
Falsified or inaccurate information may result in the immediate termination of your account.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us and your university immediately upon becoming aware of any breach of security or unauthorized use of your account. Our contact is security@gouconnect.com.
We and our Partners reserve the right to refuse service, suspend, or terminate accounts and remove or edit content at our sole discretion.
3. Communications
By creating an account on the Service, you agree to receive communications from your Partner through the platform, including career resources, event notifications, and career services updates. You may opt out of non-essential communications by following the unsubscribe instructions in any message or by contacting your university career center.
A primary purpose of the uConnect platform is to facilitate communication between Partners and the individuals they serve. uConnect does not represent or warrant the quality or content of Partner communications. We reserve the right to monitor communications to and from the uConnect platform for the purpose of improving the Service and preventing spam and abuse.
4. AI-Powered Features
The Service includes AI-powered features, including AI Search, which uses artificial intelligence to provide personalized career recommendations, search results, and insights (“AI Features”).
By using AI Features, you acknowledge and agree that:
- AI outputs are informational only. Results, recommendations, and insights generated by AI Features are provided for informational purposes and do not constitute professional career, legal, financial, or other advice. You should not rely solely on AI-generated content when making career decisions.
- Data transmission to third parties. When you use AI Features, your query data, certain account information (including your first name and an internal user identifier), and certain encoded platform metadata may be transmitted to third-party service providers, including Anthropic PBC (for AI processing and related platform functions) and Langfuse (for quality monitoring and system reliability). AI Features also use a memory mechanism that may store information you voluntarily provide during chat sessions to personalize future results — this memory may contain any information you choose to share in the chat. These providers process your data solely to provide the Service and are prohibited from using it for model training or any other commercial purpose. Your email address is not transmitted to these providers. The specific data transmitted to AI service providers may evolve as platform features develop; material changes will be reflected in updates to these Terms and our Privacy Policy. See our Privacy Policy for full details.
- No guarantee of accuracy. AI-generated content may be incomplete, inaccurate, or not suited to your specific circumstances. uConnect makes no warranty regarding the accuracy, reliability, or fitness for purpose of any AI-generated output.
- University visibility. AI Search activity is logged as part of your platform activity record. At this time, individual AI Search queries are not surfaced in the career center staff view. This may change in future releases, and these Terms will be updated accordingly.
- State-specific automated decision-making rights. Residents of Colorado, Connecticut, and other states with laws governing automated decision-making may have the right to opt out of profiling that produces legal or similarly significant effects. AI Search recommendations are informational only and do not produce binding decisions about your career prospects or qualifications. If you have questions about how automated processing applies to your data, contact us at security@gouconnect.com.
5. Content
The Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content you post, including its legality, reliability, and appropriateness.
By posting Content on or through the Service, you represent and warrant that:
- The Content is yours or you have the right to use it and to grant us the rights and license provided in these Terms; and
- Posting your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.
You retain all rights to Content you submit. By posting Content using the Service, you grant uConnect and your Partner a non-exclusive license to use, display, and distribute such Content within the Service for the purpose of providing the platform. This license does not permit uConnect to sell or commercialize your Content or use it for purposes unrelated to providing the Service.
uConnect and our Partners have the right but not the obligation to monitor and edit Content provided by users.
Content found on or through this Service that is the property of uConnect or our Partners may not be distributed, modified, transmitted, reused, downloaded, reposted, copied, or used in whole or in part for commercial purposes without express written permission from us.
6. Affinity Groups
The Service may offer optional affinity groups that connect you with identity-specific career resources and communities. Participation in affinity groups is entirely voluntary and has no effect on your access to core platform features.
Important: Joining an affinity group may reveal sensitive personal information about your identity — including but not limited to sexual orientation, gender identity, disability status, or veteran status — to your university career center. Your Partner has access to all platform data, including your affinity group memberships. Only join affinity groups if you are comfortable with your university being able to see this information.
Leaving an affinity group removes your active membership but does not automatically erase your Partner’s historical records of that membership. See our Privacy Policy for information on how to request deletion of this data.
7. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of uConnect Inc., our Partners, and their licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of uConnect Inc.
8. Copyright Policy and DMCA
It is our policy to respond to claims that Content posted on the Service infringes on the copyright or other intellectual property rights of any person or entity. If you are a copyright owner or authorized representative and believe that copyrighted work has been infringed, please submit your claim to support@gouconnect.com with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
- A description of the copyrighted work and the URL where it exists or a copy of the work;
- Identification of the URL or specific location on the Service where the allegedly infringing material is located;
- Your address, telephone number, and email address;
- A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on their behalf.
You may be held accountable for damages, including costs and attorneys’ fees, for misrepresentation or bad-faith infringement claims.
9. Links to Third-Party Sites
The Service may contain links to third-party websites or services not owned or controlled by uConnect. uConnect has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. We strongly advise you to review the terms and privacy policies of any third-party sites you visit.
When you click an external link within the Service, uConnect records that you navigated away from the platform (to understand which resources are most useful). Once you leave the Service, uConnect’s Terms and Privacy Policy no longer apply to your activity on external sites.
10. Termination
We, along with our Partners, may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
If you wish to terminate your account, you may contact your university career center or uConnect directly at security@gouconnect.com. Please note that termination of your account will result in loss of access to the platform. Data deletion requests following termination are handled in accordance with our Privacy Policy.
Following termination of your account, certain identifiers may be retained by uConnect in a secure persistent identifier storage layer solely for the purpose of matching future employment outcomes data provided by your university to your student record. See our Privacy Policy for details.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Privacy and Data
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy. Key points include:
- Your university Partner has access to all data you enter into the platform, including affinity group memberships.
- uConnect does not sell your personal information to any third party.
- Certain platform features, including AI Search, transmit data to authorized subprocessors for the purpose of providing the Service. See the Privacy Policy for a full list of subprocessors.
- You have rights to access, correct, and request deletion of your personal information. Contact security@gouconnect.com or your university career center to exercise these rights.
- Your use of the Service may constitute an education record governed by the Family Educational Rights and Privacy Act (“FERPA”). uConnect acts as a school official with legitimate educational interest on behalf of your university. Your university, as the educational institution maintaining your education records, bears primary responsibility for FERPA compliance. Please consult your university’s FERPA notice for additional details.
- Following account deprovisioning, certain identifiers (name, email, and internal user ID) may be retained to enable your university to match future employment outcomes data to your record. This data is not used for any other purpose.
12. Indemnification
You agree to defend, indemnify, and hold harmless uConnect Inc., our Partners, and their respective licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to: (a) your use of and access to the Service; (b) a breach of these Terms; or (c) Content you post on or through the Service.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall uConnect Inc., our Partners, or their respective directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including without limitation loss of profits, data, use, goodwill, or other intangible losses — resulting from:
- Your access to, use of, or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service, including AI-generated content;
- Unauthorized access, use, or alteration of your transmissions or content; or
- Any decisions made in reliance on AI Features or other platform content.
This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
14. Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
uConnect Inc., our Partners, and their subsidiaries and affiliates do not warrant that: (a) the Service will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; (d) the results of using the Service will meet your requirements; or (e) AI-generated content will be accurate, complete, or appropriate for your specific circumstances.
15. Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
16. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements relating to the Service.
17. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will notify your university Partner in accordance with our Software Services Agreement, and we will provide at least 30 days’ notice via in-platform notification or email prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.
18. Dispute Resolution
Before initiating any formal legal proceeding, you agree to first contact uConnect at security@gouconnect.com to describe the nature of your dispute and provide us with a reasonable opportunity to resolve it informally. uConnect will use good faith efforts to respond within 30 days. If the dispute is not resolved within 60 days of your initial notice, either party may pursue available legal remedies.
Nothing in this section limits your right to seek emergency injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm, nor does it limit your ability to file a complaint with applicable regulatory agencies.
